These Terms of Service (“Terms”) govern your use of the NEULEAD website and any services provided by NEULEAD (“NEULEAD,” “we,” “us,” “our”). By using our website or engaging our services, you agree to these Terms. If you do not agree, do not use our website or services.

  1. DEFINITIONS
    “Client” means any person or business that requests or purchases NEULEAD services.
    “Services” means any work performed by NEULEAD, including (but not limited to) WordPress websites, landing pages, paid ads management, SEO, automation/CRM setup, chatbot setup, audits, consulting, and related deliverables.
    “Deliverables” means the work product NEULEAD provides (website pages, campaigns, creatives guidance, workflows, automation logic, reports, documentation, etc.).
    “SOW/Proposal/Invoice” means the written scope document (proposal, quote, invoice, statement of work, or written agreement) that defines what NEULEAD will deliver, timelines, and fees.
    “Third-Party Platforms” means tools and services not owned by NEULEAD (e.g., WordPress, hosting providers, Meta, Google, TikTok, ManyChat, Make, n8n, Telegram, analytics tools, payment processors, plugins, etc.).
  2. WEBSITE USE
    You agree not to misuse this website. You must not attempt unauthorized access, disrupt the website, introduce malware, scrape content, or use the website for unlawful or misleading purposes. NEULEAD may update, suspend, or withdraw access to parts of the website at any time.
  3. SERVICES AND SCOPE
    3.1 Scope of Work
    All Services and Deliverables must be defined in a written SOW/Proposal/Invoice. Anything not explicitly included is out of scope.

3.2 Start of Work
Work begins only after:
(a) scope is approved in writing, AND
(b) any required deposit/initial payment is received, AND
(c) the Client provides necessary access and/or required materials (if applicable).

3.3 Communication
NEULEAD may communicate via WhatsApp, email, and calls. Important decisions or approvals may be confirmed in writing for clarity. If you send instructions via multiple channels, NEULEAD may follow the most recent written direction that is consistent with the agreed scope.

  1. CLIENT RESPONSIBILITIES
    To deliver work effectively, the Client agrees to:
  • Provide accurate business information, offers, pricing, and requirements.
  • Supply assets and content when needed (logos, images, copy, brand direction) or approve NEULEAD’s recommended structure.
  • Provide timely access to necessary accounts (hosting, WordPress admin, ad accounts, analytics, CRM tools, ManyChat, Make/n8n, etc.).
  • Review drafts and respond to requests for feedback/approvals in a timely manner.
  • Ensure all claims, content, and business practices comply with applicable laws and platform policies.

Delays caused by missing access, delayed feedback, or incomplete inputs may pause timelines and affect delivery dates.

  1. REVISIONS AND CHANGE REQUESTS
    5.1 Revisions
    Revisions included in your project are defined in the SOW/Proposal/Invoice. Revisions mean edits to agreed deliverables, not new features or new work.

5.2 Change Orders
Requests outside the agreed scope (e.g., extra pages, major redesigns, extra campaigns, new integrations, additional automation flows, new content sets, new platforms) are change requests. NEULEAD may require a new quote, additional fees, and/or timeline adjustments before proceeding.

  1. FEES, INVOICING, AND PAYMENTS
    6.1 Fees
    Fees are stated in the SOW/Proposal/Invoice and may include one-time project fees and/or recurring retainers.

6.2 Payment Terms

  • Project fees are payable according to the agreed schedule (e.g., 60/40 or 70/30 milestones).
  • Retainers are paid upfront for the service period stated (monthly/quarterly).
  • NEULEAD may pause work if invoices are overdue.

6.3 Third-Party Costs and Ad Spend
Third-party costs (hosting, domains, plugins, paid tools, subscriptions, automation platforms, chatbot tools) are paid by the Client unless explicitly included in writing.
Advertising spend is separate from NEULEAD’s service fees unless explicitly included in writing.

6.4 Late Payments
Late payment may result in paused work, rescheduled delivery, and/or withholding of deliverables until payment is received.

  1. TIMELINES AND DELIVERY
    7.1 Timelines
    Timelines are estimates based on the agreed scope and timely Client responses. Third-party delays (platform approvals, outages, policy changes) can affect outcomes and timing.

7.2 Acceptance
Deliverables are considered accepted when:

  • the Client approves in writing, OR
  • the work is published/launched/used publicly, OR
  • seven (7) days pass after delivery with no written issues raised.
    (You may change “7 days” to your preferred number.)

If issues are raised within the acceptance window, NEULEAD will address them if they fall within scope.

  1. RESULTS AND NO GUARANTEES
    NEULEAD does not guarantee specific results such as revenue, profit, number of leads, rankings, ROAS, cost per lead, conversion rate, or sales volume. Results depend on factors outside NEULEAD’s control, including offer strength, pricing, market demand, competition, ad budgets, creative quality, sales process, customer response, platform policies, seasonality, and operational capacity.
  2. THIRD-PARTY PLATFORMS AND POLICIES
    NEULEAD is not responsible for:
  • Third-party platform outages, algorithm changes, API changes, policy updates, or feature removals.
  • Account restrictions, suspensions, bans, or rejected ads caused by platform decisions or policy violations.
  • Limitations or changes to WhatsApp/ManyChat/Meta/Google/TikTok or other tools.

The Client remains responsible for compliance with platform policies and for the legality/accuracy of business claims and content.

  1. INTELLECTUAL PROPERTY (IP) AND OWNERSHIP
    10.1 Client Ownership (After Full Payment)
    After full payment, the Client owns the final Deliverables specifically created for the Client, except for NEULEAD’s internal templates/frameworks and any third-party licensed assets.

10.2 NEULEAD Retained Rights
NEULEAD retains ownership of its methods, reusable templates, frameworks, SOP formats, and internal processes used to deliver work.

10.3 Third-Party Licenses
Themes, plugins, fonts, stock media, and other third-party assets remain subject to their licenses. The Client is responsible for purchasing/renewing any required licenses unless otherwise agreed in writing.

  1. CLIENT CONTENT AND PERMISSIONS
    The Client confirms they have rights to use all content and materials they provide. The Client is responsible for ensuring that supplied content does not infringe copyrights, trademarks, privacy rights, or other legal rights.
  2. CONFIDENTIALITY
    Both parties agree to keep non-public business information confidential and use it only to deliver the Services, unless disclosure is required by law.
  3. PORTFOLIO AND PUBLICITY
    Unless the Client requests confidentiality in writing before the project begins, NEULEAD may display the work in a portfolio (screenshots, descriptions, and anonymized results). If the Client requires privacy, they must notify NEULEAD in writing prior to project start.
  4. SUPPORT, MAINTENANCE, AND ONGOING MANAGEMENT
    Unless included in writing, NEULEAD is not obligated to provide ongoing support or maintenance after project delivery. Ongoing services (ads management, SEO, automation support, maintenance) require a separate retainer or support agreement.
  5. TERMINATION
    15.1 Termination by Client
    The Client may terminate by written notice. The Client remains responsible for paying for work completed up to the termination date and any non-cancellable third-party costs.

15.2 Termination by NEULEAD
NEULEAD may suspend or terminate services if:

  • invoices are overdue,
  • the Client fails to provide required access/materials for an extended period,
  • the Client requests unlawful, deceptive, or policy-violating actions,
  • or there is abusive or threatening conduct.

15.3 Handover
Upon termination and full payment of outstanding balances, NEULEAD will provide reasonable handover of agreed Deliverables.

  1. REFUNDS
    Refund rules may vary by service type and will be stated in the SOW/Invoice. Unless otherwise stated:
  • Work already completed is not refundable.
  • Third-party fees and ad spend are not refundable.
  • Retainers are not refundable once the service period begins.
  1. DISCLAIMERS
    Services and the website are provided “as is” and “as available.” NEULEAD does not warrant that the website will be uninterrupted or error-free, or that specific performance outcomes will be achieved.
  2. LIMITATION OF LIABILITY
    To the maximum extent permitted by law, NEULEAD is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill arising from the website or Services.

NEULEAD’s total liability for any claim related to Services will not exceed the fees paid to NEULEAD for the specific Service giving rise to the claim within the three (3) months preceding the event, unless otherwise required by law. (You may adjust this cap if you prefer.)

  1. INDEMNITY
    The Client agrees to indemnify and hold NEULEAD harmless from claims arising from:
  • Client-provided content or claims used in ads/messaging,
  • Client’s violation of platform policies or laws,
  • infringement caused by Client materials,
  • misuse of Deliverables.
  1. FORCE MAJEURE
    NEULEAD is not responsible for delays or failure caused by events beyond reasonable control, including internet outages, platform downtime, strikes, government actions, natural disasters, and other uncontrollable events.
  2. GOVERNING LAW AND DISPUTE RESOLUTION
    These Terms are governed by the laws of Nigeria. Before starting legal action, both parties agree to attempt to resolve disputes in good faith through written notice and discussion.
  3. CHANGES TO THESE TERMS
    NEULEAD may update these Terms at any time. The updated version will be posted on this page with a revised “Last updated” date.
